The Senior Counsel of Compliance and Licensing & Assistant Secretary will support the development, oversight, implementation, monitoring, and continuous improvement of the Company compliance and ethics program to prevent illegal and unethical conduct in the United States and abroad.
This includes anti-corruption (FCPA, UK Bribery Act, and other anti-corruption laws), export and import controls, economic sanctions, embargoes, anti-boycott, trade compliance, ITAR, antitrust, conflicts of interest, and data privacy.
The Senior Counsel will also oversee the Company’s licensing program to ensure compliance with all applicable licensing requirements.
The Senior Counsel will also provide legal and corporate governance support for the Company’s international affiliates.
Essential Responsibilities: The Senior Counsel is responsible for promoting a positive culture of ethics and compliance and the development, oversight, implementation, monitoring, and continuous improvement of the Company’s compliance program.
This includes: Proactively identify and resolve compliance related issues based on legal training and common sense.
Perform any required internal investigations of alleged compliance violations.
/li> Review the Company’s compliance program, identify areas for improvement, propose enhancements, and implement improvements.
Develop, manage, and execute the compliance due diligence process in relation to customers, suppliers, and third party intermediaries.
Participate in due diligence and risk review for international representatives.
Provide compliance and ethics training to employees, officers, directors, and sales representatives.
Provide thorough legal advice and counseling to employees and officers on compliance and ethics related issues including with respect to anti-corruption, export and import controls, trade regulations, economic sanctions, embargoes, ITAR, anti-boycott regulations, conflicts of interest, and gifts/hospitality, sponsorship, and donation requests.
Draft, develop, and update compliance and ethics related policies and procedures.
Monitor and communicate external developments in the area of compliance including laws, regulations, and governmental investigations.
Incumbent will develop, oversee, and implement the Company’s licensing program to ensure compliance with all applicable licensing requirements including contractor licenses, engineering licenses, and other licenses needed to conduct business.
This position will also provide legal and corporate governance support to the Company’s international affiliates.
This includes working with foreign outside counsel, preparing corporate governance documents, and assisting with the formation of new international subsidiaries.
Job Requirements / Skills, Knowledge and Abilities: Education/Experience: Juris Doctor Degree Minimum of 10 years experience that includes significant experience working on legal compliance matters.
Preferred candidates will have both law firm and in-house experience and at least 5 years experience at a reputable law firm.
Must have a thorough knowledge of laws, regulations, and industry guidance on the requirements for maintaining an effective compliance program for a U.
S.
company with international subsidiaries.
Expertise in U.
S.
laws governing anti-bribery (FCPA), import and export controls, economic sanctions, and embargoes.
Proficiency with the UK Bribery Act, ITAR, and U.
S.
laws governing data privacy, antitrust, and antiboycott.
Working knowledge of state contractor and engineering licensing laws and experience providing clients with legal advice on licensing requirements.

Our base pay ranges are set based on the function, discipline, level and regional location and are benchmarked against companies in the same or similar industry.
Final offers may vary based on multiple factors, including; education, depth and relevance of work experience, relevant licenses and certifications, and may vary from the amounts listed in the job posting.
The base pay range for this Senior Counsel role is $188,250 - $283,000 annually.
